These Terms of Service ("Terms") govern your use of HipStaff's payroll and HR platform. By using our services, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using HipStaff, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

2. Description of Service

HipStaff provides cloud-based payroll and HR management software designed for Philippine businesses, including:

  • Automated payroll processing
  • Government contribution calculations (SSS, PhilHealth, Pag-IBIG)
  • BIR tax compliance and reporting
  • Time and attendance tracking
  • Leave management
  • Employee self-service portal

3. Account Registration

To use HipStaff, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years old
  • Have the authority to bind your organization to these Terms
  • Notify us immediately of any unauthorized access

4. Subscription and Payment

4.1 Subscription Plans

HipStaff offers monthly subscription plans. Pricing is based on the number of employees and selected features.

4.2 Payment Terms

  • Subscriptions are billed monthly in advance
  • All fees are in Philippine Peso (₱)
  • Payment is due upon receipt of invoice
  • Late payments may result in service suspension
  • Prices may change with 30 days' notice

4.3 Refunds

Subscription fees are non-refundable except as required by Philippine law or at our sole discretion.

5. User Responsibilities

You agree to:

  • Provide accurate employee and payroll data
  • Comply with all applicable Philippine labor laws and regulations
  • Use the service only for lawful purposes
  • Not attempt to reverse engineer, hack, or compromise our platform
  • Not share your account with unauthorized users
  • Verify all payroll calculations before disbursement

6. Data Ownership and Usage

6.1 Your Data

You retain all rights to your data. We do not claim ownership of any employee or payroll information you upload.

6.2 Our Rights

We may use anonymized, aggregated data for analytics, product improvement, and industry benchmarking.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice.

8. Limitation of Liability

IMPORTANT: While HipStaff automates payroll calculations and compliance, you are ultimately responsible for:

  • Verifying all payroll calculations before disbursement
  • Ensuring compliance with Philippine labor laws
  • Filing required government reports and remittances
  • Maintaining accurate employee records

HipStaff is not liable for errors resulting from incorrect data input, failure to verify calculations, or non-compliance with labor laws. Our total liability shall not exceed the fees paid in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold HipStaff harmless from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or violation of Philippine laws.

10. Termination

10.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your account for:

  • Non-payment of fees
  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abuse of our platform or support team

10.3 Data Export

Upon termination, you may export your data within 30 days. After 30 days, we may delete your data.

11. Intellectual Property

HipStaff and all related trademarks, logos, and content are owned by us. You may not use our intellectual property without written permission.

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Cebu City, Philippines.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through our platform. Continued use after changes constitutes acceptance.
